General terms of service
Version 1.0 · in force from 22 October 2026
Text under legal review: if you have doubts about a clause, write to us before signing.
These general terms (the "Terms") govern the use of the TARGA service (the "Service") provided by Druido Eventi S.r.l., through its business unit MPSH, VAT and tax code 04137511202, registered office at Via Rizzoli 4, 40125 Bologna (BO), Italy, PEC druidoeventisrl@pecconfesercentibo.it (the "Provider"), to the business that registers or subscribes (the "Customer"). The contract is concluded when the Customer completes registration by accepting the Terms or subscribes to a Plan or an offer; in case of conflict, an offer signed by the parties prevails over the Terms.
The Service is intended exclusively for businesses and professionals acting in the course of their business. Consumer protection rules do not apply.
1. Definitions
- Workspace: the Customer's environment in the Service, with its models, content, serial numbers and users.
- Content: texts, images, translations, declarations, serial number data and any other material entered or approved by the Customer.
- Published version: a document made available on the public page of a serial number, which can no longer be modified.
- Plan: the subscription level chosen (Base, Pro, Industria), with the limits and features shown on the Pricing page or in the offer.
- Continuity copy: the complete static export of the Workspace (offline browsable HTML, PDF and manifest with fingerprints).
2. Subject of the Service
The Service allows the Customer to compose instruction manuals from blocks, translate them with the help of artificial intelligence and review them, publish them per serial number with access via QR code, generate declarations in digital form, manage paper copy requests, record software versions and export the documentation.
3. The Customer remains the responsible manufacturer
The Customer is and remains the manufacturer, or in any case the party responsible, for the machinery and its documentation. The Customer is solely responsible for the content of the manuals, the approved translations, the declarations of conformity, the choice to supply instructions in digital form and the compliance of the machinery with the applicable law, including Regulation (EU) 2023/1230.
Translations generated with artificial intelligence are proposals that the Customer must review. The approval of a segment by a user of the Customer counts as acceptance of its content by the Customer.
4. No legal or CE advice
The Provider does not provide legal, technical or CE marking advice and does not guarantee that the use of the Service makes the machinery or the documentation compliant. Regulatory information published on the site or in the Service is for information only. The regulatory parameters configured in the Service (for example retention periods and paper request deadlines) reflect the current interpretation of the sources and must be checked by the Customer with its own advisers.
5. Registration and account
The Customer provides true and up-to-date data, keeps the credentials safe and is responsible for the actions of its users. The Customer may authorise a partner firm to access its Workspace; in that case it is responsible for the instructions given to the firm and can revoke access at any time.
6. Free trial
The Provider may offer a free trial of 14 days, without a credit card, with the limits shown in the Service. At the end of the trial the Workspace remains viewable but not editable for 30 days. Public pages created during the trial remain reachable during this period and indicate that the Workspace is on trial. If the Customer does not subscribe to a Plan within 30 days of the end of the trial, the Workspace, the public pages and the Content are permanently deleted, after a notice sent by email at least 7 days in advance. Machinery placed on the market with QR codes pointing to a Workspace on trial remains the Customer's responsibility. The Customer may extend the trial once by 7 days from the settings of the Service; the periods above then run from the end of the extension. The trial is granted only once per business and the Service is provided without any service level guarantee.
7. Subscription, duration and renewal
- The subscription has a minimum term of 12 months from the date the Plan is activated.
- At expiry it renews automatically for periods of 12 months, unless either party gives notice at least 30 days before expiry, by email to info@mattiazucchini.com, by PEC or from the settings of the Service.
- The Customer can move to a higher Plan at any time; moving to a lower Plan takes effect from the next renewal, if the Content fits within the limits of the new Plan.
8. Fees and payment
- Prices are shown excluding VAT. Invoices are issued electronically; for customers established outside Italy, a copy is sent by email. Business customers in another EU country with a valid VAT number are invoiced without VAT under the reverse-charge mechanism.
- The fee is due with annual payment in advance, with the discount shown on the Pricing page. Where expressly agreed, the fee may be paid in monthly instalments in advance, without changing the minimum term of 12 months.
- Setup services and additional services are invoiced according to the offer accepted by the Customer or the prices shown on the Pricing page.
- Training packages are paid in advance and the hours must be used within 12 months of purchase; for on-site training, travel expenses are charged separately. Priority support is a monthly subscription separate from the Plan, which can be cancelled at any time with effect from the following month.
- If the Customer activates printing and shipping of paper copies, the Provider prints and ships the copies requested by buyers with the version published at the time of the request, at the price of €25 per copy excluding VAT, shipping within Italy included. The obligation to supply the copy within the time required by law remains with the Customer.
- In case of non-payment, after a reminder has gone unanswered for 15 days, the Provider may suspend the editing functions of the Workspace. Published versions remain viewable via QR code during the suspension, so that the Customer can meet the obligations of Regulation (EU) 2023/1230. Late payment interest under Italian Legislative Decree 231/2002 (implementing Directive 2011/7/EU) accrues on sums not paid when due.
- The Provider may change prices with effect from the next renewal, giving at least 60 days' notice. A Customer who does not accept the new price may give notice before the current expiry.
9. Retention of published versions
For the duration of the contract the Provider keeps the published versions and their history accessible online. The Service is designed to keep published versions for at least 10 years from the date of placing on the market given by the Customer, provided that the contract is in force or the Customer has activated a retention-only plan.
The retention-only plan can be activated when the subscription ends: published versions remain online read-only, with the QR codes already applied still working, while editing, translation and publishing are disabled. The fee is shown on the Pricing page or in the offer, with annual payment in advance and automatic annual renewal. If the Customer does not activate the retention-only plan when the contract ends, the public pages remain online for the grace period in section 10; afterwards, QR codes pointing to the Provider's domain show a page with the Customer's contacts, or redirect to the continuity copy published by the Customer if it has given its address. For this reason the Provider recommends linking the QR codes to a domain of the Customer.
10. Data export and continuity copy
The Customer can at any time, at no extra cost, export its Content and download the continuity copy. Full export is always included in every Plan and is not restricted. The Customer undertakes to keep an up-to-date continuity copy, which allows it to guarantee access to the instructions even if the Service is interrupted.
When the contract ends, for any reason, the Customer can export for a grace period of 90 days. On request the Provider delivers the continuity copy. After the grace period the Content is deleted, subject to legal obligations.
11. Service levels
For the Base and Pro Plans the Provider undertakes to keep the Service available with the utmost professional diligence (best effort), without a guaranteed availability level. Planned maintenance is announced in advance when possible.
For the Industria Plan the service levels (availability, response times, any penalties) are defined in a specific agreement (SLA) signed by the parties.
The Provider makes a daily backup of the database and the published documents. Backups are kept for 30 days, encrypted, in a data centre separate from the main one and in any case in the European Union. Published versions are also protected by a SHA-256 fingerprint that allows the Customer to verify their integrity.
Support is provided through the Support section of the Service or by email to info@mattiazucchini.com, on working days from Monday to Friday from 9:00 to 18:00 Italian time, with a reply within 2 working days. With priority support, a paid service with a monthly subscription included in the Industria Plan, the reply arrives within 24 working hours. The times shown are response times, not resolution times.
12. Permitted use
The Customer may not use the Service for unlawful content, to infringe the rights of third parties, to attempt to access data of other customers, to intentionally overload the system or to resell the Service without a written agreement. The Customer guarantees that it holds the rights to the Content uploaded.
13. Intellectual property
The Content remains the property of the Customer, which grants the Provider a licence limited to what is needed to provide the Service. The software, the TARGA trademark and the Provider's materials remain the property of the Provider. The Customer's translation memories and glossaries are Content of the Customer and are not used for other customers.
14. Limitation of liability
- Except in cases of wilful misconduct or gross negligence, the Provider's total liability for any damage arising from the contract is limited to the fees paid by the Customer in the 12 months before the event that caused the damage.
- Except in cases of wilful misconduct or gross negligence, the Provider is not liable for indirect damage, loss of profit, loss of business or reputation.
- The Provider is not liable for the content of the manuals, the approved translations and the declarations, nor for penalties or third-party claims arising from the non-compliance of the machinery or the documentation.
- The Provider is not liable for interruptions due to force majeure or to connectivity providers or third-party services beyond its control.
15. Confidentiality
The parties keep confidential the information of the other party that they learn while performing the contract, except what the Customer publishes on the public pages, for the duration of the contract and the following 3 years.
16. Personal data
For personal data processed on behalf of the Customer, the Provider acts as processor under the data processing agreement, which is an integral part of the contract. For other processing the privacy notice applies.
17. Withdrawal and termination
Either party may terminate the contract in case of a serious breach by the other party that is not remedied within 30 days of a written notice sent by PEC or registered email. In case of termination for breach by the Provider, the Customer is entitled to a refund of the share of the fee already paid and not used. The Provider may also terminate the contract under Art. 1456 of the Italian Civil Code (express termination clause), by written notice, in case of non-payment lasting more than 60 days or breach of section 12 (permitted use). Outside these cases, early termination by the Customer does not give the right to a refund of fees already paid.
18. Changes to the Terms
The Provider may change the Terms by informing the Customer by email at least 30 days in advance. Changes needed to comply with the law or with decisions of the authorities may take effect immediately. If the Customer does not accept the changes it may withdraw before they take effect; otherwise the changes apply from the next renewal.
19. Governing law and jurisdiction
The Terms are governed by Italian law, excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna). The courts of Bologna, Italy, have exclusive jurisdiction over any dispute relating to the contract.
20. Miscellaneous
- Notices: notices with legal effect (termination, notice of breach) are sent by PEC to druidoeventisrl@pecconfesercentibo.it or to the Customer's PEC or registered email address; other communications by email to info@mattiazucchini.com or to the email of the Workspace administrator.
- Assignment: the Customer may not assign the contract without the Provider's written consent. The Provider may assign it to a company of its group or to the buyer of the business unit that runs the Service, informing the Customer, without prejudice to the continuity commitments made.
- References: the Provider may mention the Customer's name and logo as a reference only with its written consent, including by email.
- Partial invalidity: the invalidity of a clause does not affect the validity of the others.
- Entire agreement: the Terms, any signed offer, the data processing agreement and, for the Industria Plan, the SLA constitute the entire agreement between the parties.
21. Specific approval
Under Arts. 1341 and 1342 of the Italian Civil Code, the Customer specifically approves the following clauses: 4 (no advice), 6 (deletion of a Workspace not activated after the trial), 7 (minimum term and automatic renewal), 8 (suspension and price changes), 9 (retention and public pages when the contract ends), 10 (deletion after the grace period), 11 (service levels), 14 (limitation of liability), 17 (express termination clause, no refund for early termination), 18 (changes), 19 (jurisdiction), 20 (assignment). The approval is given with a second, separate acceptance at registration or by signing the offer.
